VoiceFold Terms and Conditions

VoiceFold is operated by CodeSper LLC (“CodeSper,” “we,” “our,” or “us”).

These Terms and Conditions (“Terms”) govern your access to and use of the VoiceFold mobile application, related website pages, and associated services (collectively, “VoiceFold” or the “Service”). By downloading, installing, accessing, or using VoiceFold, you agree to these Terms. If you do not agree, do not use VoiceFold.

1. VoiceFold Services

VoiceFold provides audio recording and upload, speech-to-text transcription, live transcription, AI-assisted summaries and insights, Ask AI features, speaker-related features, organization and categorization tools, export functionality, cloud synchronization and restoration, optional platform-specific backup functionality, and other related features.

Available features may vary depending on your account type, subscription status, device, operating system, location, app version, internet connection, third-party service availability, and technical limitations.

We may introduce, modify, limit, replace, suspend, or discontinue features from time to time, subject to applicable law and any commitments associated with a paid subscription.

2. Eligibility

You must be at least 13 years old to use VoiceFold. If you are under the age of legal majority where you live, you may use VoiceFold only with the permission of a parent or legal guardian where such permission is required.

If you use VoiceFold on behalf of a company, employer, organization, or other entity, you represent that you have authority to use the Service on its behalf and to accept these Terms as applicable to your use. VoiceFold is not directed to children under 13.

3. Accounts and Guest Access

VoiceFold may allow you to use the Service as a guest or by signing in with supported account providers such as Apple or Google. Guest access may be limited. Guest information may be associated with an anonymous account, device, application storage, or guest identifier.

Some guest information may not be recoverable if you delete VoiceFold, clear application data, change devices, lose access to the guest session, or delete guest information.

Signing in with a supported account may enable additional synchronization, restoration, subscription, or account-management functionality. You are responsible for maintaining reasonable security over your device and any Apple, Google, or VoiceFold accounts used. You may not allow another person to access the Service through your account in violation of these Terms or applicable law.

4. License to Use VoiceFold

Subject to these Terms, CodeSper grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, and revocable license to install and use VoiceFold for lawful personal or business purposes.

Your use must comply with applicable Apple App Store, Google Play, device, operating-system, and other platform usage rules. This license does not transfer ownership of VoiceFold or CodeSper intellectual property. You may not copy, sell, redistribute, sublicense, reverse engineer, circumvent, modify, or commercially exploit VoiceFold except where expressly permitted by applicable law.

5. Recording Consent and Legal Responsibility

You are responsible for complying with laws that apply to recording, uploading, transcribing, storing, analyzing, exporting, sharing, or otherwise using audio and related content. Recording and interception laws vary by country and jurisdiction; some require consent from one participant, while others may require consent or notice from all participants.

You are responsible for determining the law applicable to each recording. Do not record private conversations without the permission, notice, consent, or other legal authority required by applicable law. VoiceFold does not determine whether a recording is lawful. CodeSper is not responsible for your failure to obtain legally required consent or authority.

6. Transcription and AI Features

VoiceFold uses automated technologies, including speech recognition and artificial intelligence, to generate transcripts, speaker-related output, summaries, insights, highlights, action items, Ask AI responses, and other automated results.

Automated results may be inaccurate, incomplete, delayed, unavailable, misleading, or unsuitable for your circumstances. You are responsible for reviewing important information before relying on it. VoiceFold does not provide legal, medical, financial, tax, professional, emergency, or other regulated professional advice.

Do not rely on VoiceFold as your sole source for decisions involving health, safety, legal rights, finances, emergencies, or other high-impact matters. VoiceFold should not be used as the sole authoritative record of an important meeting, conversation, instruction, commitment, or event.

7. User Content and Generated Output

Your Content

“User Content” includes recordings, uploaded files, prompts and Ask AI questions, notes, titles, categories, metadata, and other information you submit to VoiceFold. You retain any ownership rights you have in User Content and are responsible for the rights, permissions, and legal authority needed to provide it.

Permission Necessary to Provide VoiceFold

You grant CodeSper and its service providers a limited, worldwide, non-exclusive, royalty-free license to host, copy, store, transmit, process, transform, and display User Content only as reasonably necessary to provide requested features, store and synchronize content, generate transcripts and AI-assisted output, maintain and secure VoiceFold, diagnose technical issues, prevent fraud and abuse, provide requested support, comply with law, and enforce these Terms.

This license does not grant CodeSper the right to use your recordings, transcripts, summaries, insights, or Ask AI conversations to train VoiceFold AI models or for behavioral advertising. Further information is provided in the VoiceFold Privacy Policy.

Generated Output

VoiceFold may generate transcripts, summaries, insights, AI responses, speaker-related information, and other results from User Content (“Output”). CodeSper does not claim ownership of Output generated specifically for you, except for the underlying software, templates, interface components, trademarks, and pre-existing intellectual property.

The ownership and copyright status of AI-generated material may vary under applicable law. Output may not be unique, and similar or identical output may be generated for others. CodeSper does not guarantee that Output qualifies for copyright, trademark, patent, or other intellectual-property protection.

8. Privacy

Your use of VoiceFold is also governed by the VoiceFold Privacy Policy, which explains collection, use, storage, processing, sharing, protection, retention, and deletion of audio, transcripts, AI content, account, subscription, usage, device, analytics, and diagnostic information. These Terms and the Privacy Policy should be read together.

9. Free Access, Premium Features, and Usage Limits

VoiceFold may offer free access, paid subscriptions, promotional access, introductory offers, trials, and other plans. Features under each plan are shown in the app at the time offered.

Free and paid access may be subject to limits involving recording duration, transcription usage, live transcription, AI requests, exports, regeneration, storage, guest access, device access, and other usage restrictions. We do not guarantee unlimited access or usage unless expressly stated for an applicable plan.

Usage limits may change. For paid subscriptions, we will not intentionally remove core value from an active subscription in a way prohibited by applicable law or app-store rules. We may use reasonable technical measures to prevent misuse, fraud, repeated exploitation of free access, or circumvention of limits.

10. Subscriptions, Trials, Billing, and Cancellation

VoiceFold may offer auto-renewable subscriptions through the Apple App Store, Google Play, or another authorized platform. The applicable price, currency, billing period, subscription benefits, introductory offers, trials (if any), and renewal terms are displayed before purchase.

Subscription availability and introductory eligibility may depend on Apple, Google, the storefront, account history, and other eligibility rules.

Automatic Renewal

Unless otherwise disclosed, subscriptions automatically renew at the applicable price and interval until canceled. The purchasing app-store account may be charged in accordance with the platform's billing rules.

Cancellation

Cancel subscriptions through the subscription-management settings provided by the platform where they were purchased. Deleting VoiceFold does not automatically cancel an active subscription.

Unless applicable law or platform rules provide otherwise, cancellation generally prevents future renewal while Premium access continues until the end of an already-paid billing period. Trials must be canceled before the applicable period ends to avoid conversion to a paid subscription under the platform's rules.

11. Refunds

Purchases through the Apple App Store generally follow Apple's billing and refund rules. Google Play purchases follow Google's applicable billing and refund rules and any refund obligations imposed on CodeSper by applicable law.

Refund eligibility may depend on purchase platform, purchase date, the nature of the issue, law, and platform policies. CodeSper does not control all refund decisions made directly by Apple or Google. For assistance, contact support@codesperpro.com. Mandatory consumer refund, cancellation, or withdrawal rights are not waived by these Terms.

12. iCloud and Platform-Specific Features

On supported Apple devices, VoiceFold may optionally save eligible audio to your personal iCloud storage. Use of iCloud requires a compatible device, Apple account, available iCloud service, system permissions, and VoiceFold settings.

VoiceFold cannot guarantee the availability, synchronization, recovery, or continued operation of iCloud or other platform-provided services. Apple, Google, and other providers may change or discontinue their services outside CodeSper's control.

13. Acceptable Use

You agree not to use VoiceFold to violate law; record someone without required consent or authority; violate privacy or intellectual-property rights; process content you do not have rights to use; harass, threaten, stalk, defame, exploit, or impersonate others; commit fraud; distribute illegal or abusive content; circumvent subscriptions or usage limits; disrupt infrastructure; introduce malware; seek unauthorized access to accounts, APIs, databases, or systems; use unauthorized scraping, crawling, or automated requests; reverse engineer software except where law allows; misrepresent AI output as verified or professionally certified; or create unreasonable risk to CodeSper, users, service providers, or third parties.

We may investigate suspected violations and may restrict or suspend access when reasonably necessary to protect the Service or others.

14. Third-Party Services

VoiceFold relies on third-party services for cloud infrastructure, authentication, speech transcription, AI processing, subscriptions and entitlements, analytics, diagnostics, security, app-store functions, and platform services.

Outages, changes, limitations, or discontinuation of third-party services may affect VoiceFold. Third parties may apply their own terms and privacy policies. You must comply with applicable terms for Apple, Google, iCloud, networks, wireless data, and app stores. More information about personal-data processors is in our Privacy Policy.

15. Exporting and Sharing Content

VoiceFold may let you export, copy, download, or share content. You choose where exported content is sent and who receives it. Once you intentionally export or share content, third-party recipients, applications, devices, and services may process it under their own terms and policies. CodeSper is not responsible for third-party actions after you intentionally share content except where law requires otherwise.

16. App Store and Platform Terms

Apple App Store

Your use of VoiceFold obtained from the Apple App Store is also subject to Apple's terms and usage rules. These Terms are between you and CodeSper, not Apple. CodeSper is responsible for VoiceFold maintenance and support, subject to applicable law and Apple terms. Apple and its subsidiaries may be third-party beneficiaries of applicable Apple-specific provisions where required by Apple's rules.

Google Play

If you obtain VoiceFold through Google Play, your use and purchases also follow Google's applicable terms and policies. These Terms are between you and CodeSper, not Google, except for rights or obligations under Google's own terms. Mandatory app-store rules control where required.

17. Availability and Changes to VoiceFold

VoiceFold may be unavailable because of maintenance, updates, network failures, third-party outages, platform changes, security incidents, technical problems, or events outside our reasonable control. We do not guarantee uninterrupted availability, error-free operation, or compatibility with every device.

We may modify, improve, replace, suspend, or discontinue features. Where applicable law requires advance notice of material changes to paid services, we will provide that notice.

18. Security

We use reasonable technical and organizational safeguards to protect VoiceFold and information it processes, but no network, app, storage system, cloud provider, or encryption method is completely secure.

You are responsible for reasonable protection of your device, credentials, Apple or Google accounts, exported content, and services used with VoiceFold. Report suspected unauthorized access to support@codesperpro.com.

19. Data and Account Deletion

VoiceFold may allow you to delete recordings or other content, move eligible content to Recently Deleted, permanently delete eligible content, delete guest data, or delete your account.

Content moved to Recently Deleted may remain recoverable for up to 30 days before permanent deletion unless you delete it sooner where that option is available.

Data and account deletion are further described in the Privacy Policy and on our Delete Account page. Some information may be retained where reasonably necessary or permitted for fraud prevention, security, legal compliance, accounting, subscription records, dispute resolution, backup systems, and enforcement of these Terms.

Deleting your account does not cancel an Apple App Store or Google Play subscription. You must separately cancel through the purchasing platform.

20. Intellectual Property

VoiceFold's software, source code, design, interface, branding, logos, graphics, documentation, proprietary technology, features, templates, and website content are owned by CodeSper LLC or its licensors and protected by intellectual-property law.

Except for the limited license granted here, no ownership rights are transferred to you. “VoiceFold,” CodeSper branding, and associated logos may not be used without permission except where permitted by law.

21. Feedback

If you voluntarily provide feedback, suggestions, feature ideas, bug reports, comments, or recommendations, you permit CodeSper to use that feedback without restriction or compensation. This does not grant CodeSper ownership of your recordings, transcripts, or other User Content.

22. Suspension and Termination

You may stop using VoiceFold at any time. CodeSper may restrict, suspend, or terminate access when reasonably necessary due to unlawful use, violation of Terms, circumvention of limits or security restrictions, legal or security risk, harm to users or others, legal requirements, or unreasonable operational risks.

Where appropriate and reasonably possible we may give notice before termination. Termination does not automatically entitle you to a refund except where law or platform policy requires one. Clauses that should survive termination—including intellectual property, content permissions necessary for completing processing or deletion, disclaimers, liability, disputes, and legal obligations—remain applicable.

23. Disclaimers

VoiceFold is provided “as is” and “as available.” To the maximum extent permitted by law, CodeSper disclaims warranties not expressly stated, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, reliability, and uninterrupted operation.

We do not guarantee that transcripts, speaker identification, or AI output will be accurate or complete; that VoiceFold will meet every need; that data will always be recoverable; or that third-party services will remain available. This does not exclude non-waivable warranties or consumer protections.

24. Limitation of Liability

To the maximum extent permitted by law, CodeSper LLC and its owners, employees, contractors, affiliates, service providers, and licensors are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages related to VoiceFold, including losses of data, profits, revenue, opportunities, goodwill, device issues, subscription issues, recording failure, transcription errors, AI inaccuracies, or reliance on automated output.

To the maximum extent permitted by law, CodeSper's total aggregate liability for claims related to VoiceFold will not exceed the greater of (1) the amount you paid for VoiceFold in the three months immediately before the event giving rise to the claim or (2) US $50.

These limitations do not apply where prohibited by applicable law. Nothing excludes liability that cannot legally be excluded or limited.

25. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless CodeSper LLC and its owners, employees, contractors, affiliates, and licensors from third-party claims, liabilities, losses, and reasonable expenses arising from unlawful use, User Content that violates rights, breach of Terms, violation of recording-consent law, intellectual-property or privacy violations, or intentional misuse.

This section does not apply to the extent indemnification is prohibited by mandatory consumer law.

26. Mandatory Consumer Rights

Nothing in these Terms waives, restricts, or excludes rights that cannot legally be waived under consumer-protection law. Rights under the law of your place of residence continue to apply where mandatory, including rights concerning digital services, subscription cancellation, refunds, warranties, withdrawal periods, unfair terms, and local courts or dispute-resolution mechanisms.

27. Governing Law and Disputes

These Terms are governed by the laws of the State of Georgia, United States, without regard to conflict-of-law rules, except where mandatory law requires otherwise.

Before beginning a legal claim, you agree where reasonably practicable to contact support@codesperpro.com and give us an opportunity for informal resolution. Unless mandatory law provides another right, disputes may be brought in courts with jurisdiction in Georgia. Mandatory local consumer protections and access to courts remain intact.

28. Export and Legal Compliance

You may not access, use, or export VoiceFold in violation of applicable export controls, sanctions, or trade laws. You represent that your use is not prohibited by applicable U.S. or other relevant law. We may restrict availability in particular countries or regions to comply with laws, sanctions, platform requirements, technical restrictions, or business considerations.

29. Changes to These Terms

We may revise these Terms to reflect changes to VoiceFold, its features, subscriptions, our business, laws, platform requirements, security, or operations.

When updated, the “Last Updated” date will change. For material changes, we may give additional notice where appropriate or legally required. Continued use does not replace affirmative consent where the law requires such consent. If you disagree with revised Terms, stop using VoiceFold.

30. Severability

If a provision is unlawful, invalid, or unenforceable, it will be enforced to the maximum extent law allows while the remaining provisions continue in effect.

31. No Waiver

Failure by CodeSper to enforce a provision immediately does not waive our right to enforce it later.

32. Assignment

You may not assign or transfer your rights or obligations under these Terms without CodeSper's written permission except where the law provides otherwise. CodeSper may transfer these Terms as part of a merger, acquisition, restructuring, financing, asset sale, or similar transaction, subject to law.

33. Entire Agreement

These Terms, together with our Privacy Policy and any additional terms presented for a specific feature, purchase, promotion, or service, make up the agreement concerning your use of VoiceFold. Additional terms control for the relevant feature or transaction where they expressly conflict with these Terms.
